Article 1Introduction

These Terms of Service (hereinafter the “Terms”) govern the relationship of users (hereinafter “User” or “You”), LUXON Foundation (hereinafter “LUXON” or the “Company” or “Us” or “We”) and its affiliates or subcontractors regarding services (hereinafter the “Service”) of website or application on which these Terms are posted. Additionally, the Terms describe the terms applicable when using the Service of the Company on other Websites or Platforms. When you use the Service, you represent that you understand these Terms and shall be deemed conclusively to have agreed to all the terms. These terms are applicable to LUXON platform and independently operated Blockchain based games serviced on LUXON platform. However, if there is a conflict between the terms and conditions of LUXON platform and games on the platform, these terms and conditions shall prevail unless otherwise stated.

Article 2Definition of Terms

The Terms herein shall be defined as follows:

1. “Company” refers to LUXON Foundation

2. “Service” refers to the inclusive entirety of the Company provided website, wallet-use services and such, which is accessible through PC, tablet, mobile, or any electronic device.

3. “Website” refers to the LUXON website: https://luxon.games/

4. “Wallet” refers to the online wallet provided by a third-party, through the web or application, which are accessed through public keys and private keys and store and manage digital assets and also allows purchase, trade, and exchange functions in the LUXON platform.

5.”Member” refers to a person who linked his/her own online third party wallet account with the procedures required by the Company and using the LUXON service.

6. “User” or “You” refer to the person who uses the Service provided by the Company.

7. “Game” refers to any electronic video game.

8. “In-game item” refers to electronic data, including NFTs (Non-Fungible Tokens),that exists in a digital form and are designated for use in games.

9. “Digital Asset” refers to Blockchain-based items or data that exist in digital form. Digital asset includes, but is not limited to, NFTs, Cryptocurrency and Game Tokens.

10. “NFTs” or “Non-fungible Tokens” refer to any digital asset on blockchain that is not mutually interchangeable with other tokens. Within the Service, certain in-game items are provided as NFTs.

11. “Cryptocurrency” refers to coins and tokens issued through blockchain technology. On the LUXON platform, LUXON Token is used as the key currency which can be exchanged with game tokens or used as a means of purchase.

12. “Game Tokens” refer to tokens that can be used for using the contents of game service on the LUXON platform or purchasing game items, among other things.

13. “Dormant Account” refers to any account that has not been active for a long period of time.

Article 3Products

The Company offers a variety of services which may include purchasing, trading, or exchange content. To interact with our Service, you must use a third-party wallet which allows you to engage in transactions on blockchains. We are not a wallet provider, exchange, broker, financial institution, or creditor. We provide a peer-to-peer web3 service that helps users discover and directly interact with each other and NFTs available on public blockchains. We do not have custody or control over the NFTs or blockchains you are interacting with and we do not execute or effectuate purchases, transfers, or sales of NFTs. Product information, pricing, and availability of products listed in the Service are subject to change.

By using the products, users represent that they are adults with legal ability to use the LUXON products, and they are considered to fully understand the terms and conditions of this use and agree to all items in the Terms of Service. If a user has no legal ability to use LUXON products or does not agree with these terms of use, he or she must stop any actions that access or use LUXON products.

1. Accessing the Service:

Your Account on Luxon will be associated with your linked blockchain address and display the NFTs for that blockchain address (and, if applicable, any content associated with such NFTs). By using your wallet in connection with the Service, you agree that you are using that wallet under the terms and conditions of the applicable provider of the wallet. Wallets are not operated by, maintained by, or affiliated with Luxon, and Luxon does not have custody or control over the contents of your wallet and has no ability to retrieve or transfer its contents. Luxon accepts no responsibility for, or liability to you, in connection with your use of a wallet and makes no representations or warranties regarding how the Service will operate with any specific wallet. You are solely responsible for keeping your wallet secure and you should never share your wallet credentials or seed phrase with anyone. If you discover an issue related to your wallet, please contact your wallet provider. Likewise, you are solely responsible for your Account and any associated wallet and we are not liable for any acts or omissions by you in connection with your Account or as a result of your Account or wallet being compromised. You agree to immediately notify us if you discover or otherwise suspect any security issues related to the Service or your Account (you can contact us here: contact@nerdystar.io).

THE COMPANY DOES NOT GUARANTEE LOSS OR REWARDS OCCURRED THROUGH THE SERVICE. BY USING YOUR WALLET IN CONNECTION WITH THE SERVICE, YOU AGREE THAT ALL SERVICES MAY SUSPEND OR CHANGE AT ALL TIMES DEPENDING ON THE BLOCKCHAIN NETWORK, TECHNOLOGY, ENVIRONMENT, AND SEVERAL CIRCUMSTANCES. WHEN USING THE SERVICE, IT IS CONSIDERED TO BE AGREED TO THE CONTENTS SPECIFIED IN THIS DOCUMENT.

THE TAX TREATMENT OF DIGITAL ASSET TRANSACTIONS IS UNCERTAIN, AND IT IS YOUR RESPONSIBILITY TO DETERMINE WHAT TAXES, IF ANY, ARISE FROM THESE TRANSACTIONS. YOU ARE SOLELY RESPONSIBLE FOR REPORTING AND PAYING ANY APPLICABLE TAXES ARISING FROM STAKING THROUGH THE COMPANY'S SERVICE AND ALL RELATED TRANSACTIONS, AND ACKNOWLEDGE THAT THE COMPANY DOES NOT PROVIDE INVESTMENT, LEGAL, OR TAX ADVICE TO A USER IN CONNECTION WITH SUCH ELECTION TO PARTICIPATE. YOU SHOULD CONDUCT YOUR OWN DUE DILIGENCE AND CONSULT ADVISORS BEFORE MAKING ANY INVESTMENT DECISION INCLUDING WHETHER TO PARTICIPATE IN SERVICE AND RELATED TRANSACTIONS.

2. Purchase Terms:

Please read these purchase terms carefully before ordering products from the Service. Brief purchase precautions will be given to you through the appropriate method when you proceed to purchase products from the Service. Digital assets may be required to purchase products on the Service. Please note that you agree to the purchase terms set forth in these Terms when you purchase products through Service or services directly connected to the Service. Due to the characteristics of the blockchain technology, used digital assets etc. such as transactions occurred with purchase etc., can not be returned.

3. Games of LUXON:

The Company may provide informational service regarding values or trading status(market price) of each digital asset through the games provided by LUXON. Nonetheless, it does not guarantee a completeness or integrity of the information provided. the user can terminate the service or reject the use anytime. There are various types of game genres that LUXON introduces and methods of acquiring digital assets may differ according to the type of game. When using LUXON, you must agree to these terms and conditions and privacy policy, and when using individual game services, you must also agree to the terms and conditions and privacy policy provided by individual games.

4. NFTs:

LUXON allows you to store items, characters, digital rewards, and other attributes on the Blockchain public ledger that allows for decentralized, immutable record of ownership. Each user owns NFTs for any of the in-game items on the Service. When a User purchases, earns, or receives any NFT or Digital Asset, the User owns completely and outright the NFT and/or Digital Asset. For the avoidance of doubt, the User acknowledges and agrees that while the User may own an NFT or Digital Asset, the underlying embedded intellectual property rights may be subject to certain licensing requirements, and LUXON can only convey such rights to Users so long as LUXON holds a valid license to the intellectual property. If such license terminates, LUXON, and by extension the User, may not have any rights to the underlying embedded intellectual property in the User's NFTs or Digital Assets, and the underlying embedded intellectual property may be changed or removed at LUXON's determination.

Article 4Use of LUXON

1. Effect and modification of Terms of Service:

The Company, if deemed necessary, can modify these Terms of Service to the extent that it does not violate the relevant laws and regulations. Any modified contents shall be announced or notified by LUXON via electronic methods, including, but not limited to email, electronic notice in the Service, or pop-up message. Please note that you acknowledge and accept that these Terms of Service and/or the Service may be amended, modified, or altered at any time without notice in the sole discretion of LUXON. However, in the event of material modifications of these Terms of Service that may put you at a disadvantage. If your comments are not received during the above time period, your continued use of the Service after any modifications of these Terms of Service shall constitute your consent and acceptance of any such changes, modifications, or alterations. If you do not agree to the revised Terms of Service, you may terminate the Service Agreement through discontinuation of use of Service or withdraw membership at any time. LUXON may not be able to provide applicable Services that are subject to the modified terms and conditions to you anymore if you do not consent to the modified terms and conditions. The date of the most recent modifications will be indicated at the top of these Terms of Service.

2. Provision of LUXON Platform:

By using our Service, you agree with following conditions under the applicable law: - You have all necessary knowledge to deal with digital items and/or Blockchain-based systems, have a full understanding of their framework, are aware of all the merits, risks and any restrictions associated with digital assets. - You will neither use the Service for any illegal activity nor be engaged in any illegal activity. - You solely control your credentials (email address, password or other information provided for the purpose of the Service use) and do not act on behalf of any third party. - To provide better Service, the Company may display in the Service Page or send via email various information including notices, admin messages, and other advertisements regarding use of the Service. If you do not wish to receive such emails, please contact our customer service at contact@luxon.games

3. membership:

Pursuant to the membership policy made by the Company, the user shall be able to apply account membership after entering user information such as LUXON WALLET account ID, password, email address etc., expressly agreeing with the terms and conditions. The Company registers the applicant as a user and provides the LUXON Service unless meets the following conditions.

- Has false, incomplete, or incorrect membership information

- When perceived as a disturbance to the Company’s service when registering

The membership contract approval time is deemed as the time when the company approval has arrived to the user; when the registration has been completed.

4. Warranty Disclaimer & Disclosures:

THE SERVICE MAY CONTAIN CONTENTS OF THE COMPANY’S PARTNERS, VENDORS, GAME DEVELOPERS, ETC. AND/OR LINKS TO THIRD-PARTY WEBSITES AND SERVICES. SUCH SERVICES AND/OR LINKS ARE PROVIDED FOR USERS’ CONVENIENCE, AND THE COMPANY DOES NOT GUARANTEE, SUGGEST OR IMPLY THE SAFETY OF ANY THIRD-PARTY WEBSITE OR THE LEGALITY OR CONFORMITY OF ANY SUCH THIRD-PARTY SERVICE. THE COMPANY IS NOT RESPONSIBLE FOR MAINTAINING ANY MATERIALS REFERENCED FROM ANOTHER SITE, AND MAKES NO WARRANTIES, NOR ENDORSEMENT FOR THAT SITE OR RESPECTIVE SERVICE. THE COMPANY ASSUMES NO OBLIGATIONS IN THE EVENT OF ANY DAMAGE OR LOSS, OR ANY OTHER IMPACT, DIRECTLY OR INDIRECTLY RESULTING FROM THE USE OF ANY CONTENT, GOODS OR SERVICES AVAILABLE ON OR THROUGH ANY SUCH THIRD-PARTY SERVICES AND RESOURCES. PLEASE ALSO NOTE THAT THESE SERVICES MAY HAVE THEIR OWN POLICIES. YOU WOULD HAVE AGREED TO THOSE POLICIES UPON ACCESSING, USING OR SIGNING UP TO THOSE SITES AND/OR SERVICES, AND WE ARE NOT RESPONSIBLE NOR LIABLE IN ANY WAY TO YOU OR ANY THIRD PARTY IN RESPECT OF THOSE POLICIES.

YOU ACCEPT THE INHERENT SECURITY RISKS OF PROVIDING INFORMATION AND DEALING ONLINE OVER THE INTERNET AND AGREE THAT WE HAVE NO LIABILITY OR RESPONSIBILITY FOR ANY BREACH OF SECURITY UNLESS IT IS DUE TO OUR GROSS NEGLIGENCE.

WE WILL NOT BE RESPONSIBLE OR LIABLE TO YOU FOR ANY LOSSES YOU INCUR AS THE RESULT OF YOUR USE OF THE ETHEREUM NETWORK, POLYGON NETWORK, THE METAMASK ELECTRONIC WALLET, AND LUXON ELECTRONIC WALLET, INCLUDING BUT NOT LIMITED TO ANY LOSSES, DAMAGES OR CLAIMS ARISING FROM:

(A) USER ERROR, SUCH AS FORGOTTEN PASSWORDS OR INCORRECTLY CONSTRUED SMART CONTRACTS OR OTHER TRANSACTIONS;

(B) SERVER FAILURE OR DATA LOSS;

(C) CORRUPTED WALLET FILES;

(D) UNAUTHORIZED ACCESS OR ACTIVITIES BY THIRD PARTIES, INCLUDING BUT NOT LIMITED TO THE USE OF VIRUSES, PHISHING, BRUTE FORCING OR OTHER MEANS OF ATTACK AGAINST THE APP, ETHEREUM NETWORK, POLYGON NETWORK OR THE METAMASK ELECTRONIC WALLET.

LUXON IS NOT RESPONSIBLE FOR LOSSES DUE TO BLOCKCHAINS OR ANY OTHER FEATURES OF THE ETHEREUM NETWORK, THE METAMASK ELECTRONIC WALLET, INCLUDING BUT NOT LIMITED TO LATE REPORT BY DEVELOPERS OR REPRESENTATIVES (OR NO REPORT AT ALL) OF ANY ISSUES WITH THE BLOCKCHAIN SUPPORTING THE ETHEREUM NETWORK, POLYGON NETWORK, INCLUDING FORKS, TECHNICAL NODE ISSUES, OR ANY OTHER ISSUES HAVING FUND LOSSES AS A RESULT.

The Company uses reasonable efforts to maintain operations of the LUXON Service. However, the Company shall not be held liable for any disruption or discontinuation of the Service due to natural disasters or other force majeure events.

- Market Risk:

The value of Digital Assets are derived from supply and demand in the global marketplace, which can rise or fall independent of any government currency. Holding Digital Assets carries exchange rate and other types of risk. The value of Digital Assets may be derived from the continued willingness of market participants to exchange traditional government currency for digital rewards, which may result in the potential for permanent and total loss of value of a particular digital reward should the market disappear. The volatility and unpredictability of the price and value of Digital Assets, relative to government currency, may result in significant loss over a short period of time. LUXON cannot guarantee or warrant the value of any Digital Asset, and explicitly warns the User that there is no reason to believe that any Digital Asset will increase in value, and that they may hold no value, decrease in value, or entirely lose value.

- Regulatory Risk:

Legislative and regulatory changes or actions at the state, federal, or international level may adversely affect the use, transfer, exchange, and value of Digital Assets. The regulatory status of cryptographic tokens, digital assets and blockchain technology is unclear or unsettled in many jurisdictions. It is difficult to predict how or whether governmental authorities will regulate such technologies. It is likewise difficult to predict how or whether any governmental authority may make changes to existing laws, regulations and/or rules that will affect cryptographic tokens, digital assets, blockchain technology and its applications. Such changes could negatively impact the Services in various ways, including, for example, through a determination that any of the above are regulated financial instruments that require membership. LUXON may cease any distribution of any of the above, the development of the Services or cease operations in a jurisdiction in the event that governmental actions make it unlawful or commercially undesirable to continue to do so. The industry in which LUXON operates is new, and may be subject to heightened oversight and scrutiny, including investigations or enforcement actions. There can be no assurance that governmental, quasi-governmental, regulatory or other similar types of (including banking) authorities will not examine the operations of LUXON and/or pursue enforcement actions against LUXON. Such governmental activities may or may not be the result of targeting LUXON in particular. All of this may subject LUXON to judgments, settlements, fines or penalties, or cause LUXON to restructure its operations and activities or to cease offering certain products or services, all of which could harm LUXON’s reputation or lead to higher operational costs, which may in turn have a material adverse effect on the Services.

- Technology Risk:

Digital Assets transactions may be irreversible and losses due to fraudulent or accidental transactions may not be recoverable. Some virtual transactions are deemed to be made when recorded on a public ledger, which may not necessarily be the date or time the user initiated the transaction. The nature of such virtual transactions may lead to an increased risk of fraud or cyber-attacks.

- User Data:

We will maintain certain data that you transmit to the Site and the Smart Contracts for the purpose of managing the performance of the Site and the Smart Contracts, as well as data relating to your use of the Site and the Smart Contracts, in order to upgrade and provide personalized service in LUXON platform.

5. Updates:

The Company may deploy or provide patches, updates, upgrades, content or other modifications to the Services for reasonable purposes. These updates may result in the Services being temporarily unavailable. In certain circumstances, we may suspend, withdraw or disable the Service for longer periods while we deploy these updates.

Service suspension for any reason shall be notified or announced through email or pop-up message from the Service, except for any causes of suspension that the Company is unable to predict or control. However, even for such exceptional causes, the Company shall use best efforts to recover the Service at the earliest possible time.

6. Dormant Account Policy:

Your account is converted to a “Dormant Account” after one year period of no record of log-in. A Dormant Account is notified of its conversion to a Dormant Account 30 days prior to the conversion.

All information of the account is deleted with exception for the necessary minimum information including, but not limited to, email address and wallet address, and the account is suspended 3 years after conversion to a Dormant Account. You are also notified 30 days prior to suspension of the account. You are responsible for any information that has been deleted since the account has converted to a Dormant Account.

7. Naming Policy:

Naming Policy is applicable to all names selected by users in the Service provided by the Company. Generally, all IDs can be created without any restriction. However, the names that violate the naming policy shown below can be arbitrarily deleted or changed at the sole discretion of the Company.

- Any form of name that is offensive to others (including, but not limited to, abuse, slander, criticism, violent words)

- A name that is anti-social and contrary to applicable laws

- A name related to illegal activities

- A name that slanders or defames specific group, race or religion

- A name that may invade the trademark rights of other third parties

- A similar name that impersonates another user

- A name deemed to have advertising intent (including the purpose of promotion and profit of a specific organization)

- A name related to LUXON, the products provided by LUXON(including games) and the Company (a name that may mislead service provision of the Company, for example, names that impersonate members of the LUXON Team, an operator, assistant, or NPC)

- A name that slanders or promotes a specific politician or political party.

- Other names that may impede healthy Service operation.

The Company may take prompt action in accordance with the Naming Policy on names that may not be on the list above, but may cause discomfort to other users.

8. Fraud Policy:

Fraudulent activity within the service refers to any activity that intentionally deceives other users for profit. The Company may restrict fraudulent users to create a healthy environment for the LUXON platform. The Company does not provide relief for damages incurred by fraudulent activity.

9. Account Theft Policy:

- Account theft refers to any activity that damages a user's account information (including, but not limited to, private key and asset) by extortion of information registered in the account.

- Account theft is a violation of applicable laws and regulations, and the Company is not responsible for any civil or criminal actions that may occur internally or externally to users in connection with such violation. In addition, if it is confirmed that the personal information of another user has been used illegally without consent of the user, the use of Service of all accounts related to such account theft may be restricted.

- IN THE CASE OF ACCOUNT THEFT, THE COMPANY DOES NOT PROVIDE RELIEF FOR INCURRED DAMAGES.

10. Failure Recovery Policy:

Digital Assets that have been lost due to technical errors or bugs while using the Service will be recovered to the extent to which the Service is not overwhelmed after record confirmation. However, changed data attributed to personal carelessness or negligence of the user will not be recovered.

11. Protection and Use of Personal Information:

The Company, pursuant to the related law, strives to protect user’s personal information, and complies with the related law and Company’s Privacy Policy regarding protection and use of Personal Information. On the contrary, excluding the Service provided by the Company, the Company’s Privacy Policy does not apply to the linked services and such linked services are bound to the service provider’s Privacy Policy. Pursuant to the characteristics of the Service, introductory information such as nickname, character picture which are irrelevant to the user’s personal information may be disclosed. The Company does not provide users' personal information without consent of the account holder unless requested by the national institutions to abide by the related law. The Company is not responsible for damage done with exposure of personal information due to attributable reasons of the user.

12. Ownership Policy:

User acknowledges and agrees that LUXON, any game developer, or third party contact provider (or, as applicable, any licensors) own all legal right, title and interest in and to all elements of their respective intellectual property rights therein. The visual interfaces, graphics (including, without limitation, all art and drawings associated with the), design, systems, methods, information, computer code, software, services, “look and feel”, organization, compilation of the content, code, data, and all other elements of any content provided on the Service are protected by copyright, trade dress, patent, and trademark laws, international conventions, other relevant intellectual property and proprietary rights, and applicable laws. All such intellectual property are the property of its owners or licensors, and all trademarks, service marks, and trade names are proprietary to its owner or licensors. Except as expressly set forth herein, the use of the Services does not grant User any ownership of or any other rights with respect to any content, code, data, or other materials that you may access on or through the Services. When a User purchases or owns a Digital Asset, the User owns the Digital Asset subject to the terms and restrictions of this Terms of Service and any accompanying license restrictions for the Digital Asset. If such license terminates, LUXON, and by extension the User, may not have any rights to the underlying embedded intellectual property in the User's owned Digital Asset, and the underlying embedded intellectual property may be changed or removed at LUXON's determination.

Article 5User Obligations and Responsibilities

1. User Obligations Users are prohibited from engaging in any of the following:

- Inappropriate or unjustifiably use of another user’s wallet account and password.

- Upload lewd materials, disparaging or inappropriate materials, or connect (link) such websites on the bulletin board or any public space or the Service.

- Violate or infringe other rights of the Company or a third-party including copyright

- Cause malfunction of equipment, and/or destroy and disrupt information related to the Service

- Collect, store and/or disclose other user's personal information

- Circulate false information to provide oneself or others with proprietary benefits, or to damage others

- Publish any information (including computer program) prohibited by the relevant laws and regulations

- Impersonate any officer or administrator of the Company or Partners, or illegally use another user’s name.

- Other Illegal acts or any act that impedes operation of the Service

- The management and responsibility of protection of the private key, log in account, log in password, and private key password (collectively “generated information”) related to the Service of the LUXON platform, LUXON WALLET etc. such as digital asset transfer, swap etc. is with the user. It should not be used by a third party.

- If the user’s generated information such as LUXON WALLET login account, login password, private key, private key password has been stolen, exposed, lost, or damaged, the Company can’t provide any help as per the characteristic of the decentralized service.

- If the user has lost an access to their LUXON WALLET, private key, or private key password and did not separately save it in the backup and lost access to all previously accessed digital asset, the responsibility of such result is solely with the user and acknowledge and agree that the Company is not responsible with it.

- The lost digital asset can’t be returned.

- Unless a user abides by the relevant laws and regulations, these Terms of Service and all policies of the Company, his/her use of the Service and online activities may be investigated; his/her use of the Service may be temporarily or continuously suspended with out any compensation to the user, and with no liability of the Company for any loss, delay or damages whatsoever.

- In the case of violations of multiple policies, the highest penalty of the violations, or the aggravation of penalties may be applied.

- Second or higher levels of penalty may be applied to users who are conducting uncivil behaviors on the LUXON platform or interfering with the order of the Service.

- IN CASES THAT ARE NOT SPECIFICALLY STATED IN THE ABOVE SUSPENSION, IF AN ACT IS DETERMINED TO CAUSE/POSSIBLY CAUSE SERIOUS ISSUES IN/OUTSIDE OF THE LUXON PLATFORM, THE USE OF THE SERVICE MAY BE RESTRICTED IN ACCORDANCE WITH THESE TERMS.

3. User Responsibility:

Through use of the Service, you are deemed to have fully agreed that you are solely responsible for the use of login and password of your account, protection of any membership data provided for account creation, and for any actions conducted during account usage. You shall not share an account or password related to the Service to anyone and shall protect your own account and password.

You hereby agree with the following conditions related to the in-game item and digital asset.

-The Service provided by the Company refers to the inclusive entirety of the Company provided website, wallet and such, which is accessible through PC, tablet, mobile or any electronic device. The Company is not responsible for any in-game and/or digital assets related.

- The responsibility of the Company is only with the service operation and management and it does not act as an intermediary of seller or buyer of in-game item and/or digital asset. The user is fully and directly responsible for trade between parties and shared information.

Article 6Termination of Service

1. membership Withdrawal and Personal Information Protection If a user wishes to terminate the Service, the user may withdraw membership in accordance with procedures set by the Company through membership withdrawal function.

1) Upon withdrawal, a user cannot log into LUXON Service and use of the Service is restricted.

2) Upon withdrawal, all information related to LUXON Service is deleted and cannot be recovered.

3) LUXON Token balance on your LUXON Wallet must be empty. If you possess LUXON Token in your LUXON Wallet, withdrawal cannot be proceeded. Please transfer LUXON Token to another wallet address.

4) Upon withdrawal, any game token and NFT in possession are Burned and deleted on the blockchain.

5) Withdrawal cannot be proceeded if you have any open orders, including, but not limited to buy, sell and liquidation, on the exchange within LUXON Wallet. Please organize your open orders before proceeding withdrawal

6) Upon withdrawal, you cannot re-register with the same email address.

7) Upon completion of termination, a user’s information will be removed from the Service. However, due to technological characteristics of Blockchain, data related to Blockchain cannot be deleted.

8) For LUXON Wallet that directly manages the private key, all authorities such as user membership, termination, signature are with the user and a user can terminate the Service by deleting a private key without a separate termination process.

Article 7Indemnification and Immunity

1. Indemnification for Damage:

The Company or user has a responsibility to indemnify the damage if one violates the terms and does damages to the other party unless it was intentional or negligence.If the Company signed a partnership with a separate service provider and provides the separate service to the user, the separate service provider has responsibility for the damage that occurred in case the service provider does damage to the individual with intention or by negligence.

2. Company’s Immunity:

The Company is not responsible for not being able to provide service due to natural disaster or force majeure of such level.The Company is not responsible for damages caused by other reasons such as remuneration, replacement, regular inspection, and construction of service facilities unless it was the company's intentional or negligence. The Company is not responsible for the failure of using the service due to the intentional or negligence of the user unless the user has an inevitable or legitimate reason. The Company is not responsible regarding the reliability and accuracy of information and data etc. published by the user in relation to the service unless intentional or with severe negligence. The Company is not obliged to intervene in transactions or disputes caused by the user or others, and is not responsible for damages. The Company is not liable for damages incurred to the users regarding the use of the services provided. Unless, it is the company's intentional or negligence. The Company is not responsible when users did not earn expected profit or loss while using the Service. The Company is not responsible for the price fluctuations of digital assets etc. of the user. The Company is not responsible for issues occurring with personal information management such as LUXON WALLET ID, password, email etc. due to negligence of the user. The Company is not responsible if the function of the service cannot be used due to changes in electronic devices such as PCs and mobile devices, changes in mobile number, changes in the operating system (OS) version, changes in overseas roaming, and telecommunications companies, unless it is the company's intentional or negligence. The Company is not responsible if the user deleted the account information provided by the Company, unless it is the company's intentional or negligence. The Company is not responsible for the loss occurred during the service use by a guest who is not a user, unless it is the company's intentional or negligence.

Article 8Regulations

1. Governing Law and Jurisdiction These Terms of Service shall be governed by the laws of Panama a and shall be interpreted, governed and construed accordingly. Users consent to designate the courts of Panama as the competent court for any disputes or lawsuits arising in relation to these Terms of Service or Privacy Policy.

2. Language

- User agrees that even in the event that the translated version of the English Terms of Service is provided, the translated version is provided only for convenience of the user, and solely the English Terms of Service shall apply between the user and the Company.

- In the event of discrepancies between the English Terms of Service and any translated version of the Terms of Service, the English Terms of Service shall prevail.
